Terms and Conditions for the Referral Program

1. About this page

This page describes the terms and conditions applicable to the Referral Program (hereinafter, the “Program”) offered by yes!devs GmbH and yes!devs S.L. (hereinafter yes!devs), through which agencies, freelancers, or other entities (hereinafter, the “Referrers”) can recommend potential clients and receive a commission for successful referrals.

2. Purpose of the program

The Program aims to encourage and reward Referrers who connect us with potential new customers (hereinafter, “Referred Customers”) by sharing their contact details so that our sales team can directly manage the sale of the project.

This program applies exclusively when the Referrer acts as a recommender, without intervening in the commercial relationship between yes!devs and the Referred Customer beyond the initial introduction.

3. Participation process

Joining the Referral Program is simple and free. Those interested should simply complete a short form via the chatbot or designated channel, providing:

  • Full name.
  • Email address.
  • Name of agency or company (if applicable).

Once registered, you will receive a unique referral code. This code can be given by the Referrer to their Referred Customer, who must mention it when contacting yes!devs.

The code will allow the origin of the referral to be identified unequivocally and the associated Referrer to be registered.

4. Referral commission

The Referrer will receive a commission equivalent to 5% (five percent) of the net value (before taxes) actually charged by yes!devs on the first project signed with the Referred Customer.

Important details:

  • The commission applies only to the FIRST project signed with that client.
  • The commission will be calculated on the amount actually charged by yes!devs. For example, if the project is charged in stages or partially, the 5% will only apply to the amounts already charged.
  • When the first payment from the referred customer is received, yes!devs will contact the Referrer to request the billing information necessary to process the commission payment.
  • Payment will be made once the amount agreed upon by the Referrer has been invoiced and after final validation of the transaction by both parties.
  • The Referrer shall be responsible for any applicable tax withholding or tax in their country or region.

5. Essential payment condition

The obligation to pay commissions arises only when yes!devs actually receives the corresponding payment from the Referred Customer. If the project payment is partial or made in installments, the 5% referral fee will also be prorated and paid in proportion to the amount received on each occasion.

No commissions or payments will be generated on projects that have not been effectively collected.

6. Exceptions and exclusions

This Program is NOT applicable in cases where the agency or entity wishes to maintain full control of the commercial relationship with its client, acting as a direct intermediary and presenting our proposal to the client without our direct intervention. In this case, a different collaboration model may be agreed upon outside of this Program, with specific conditions between both parties.

7. Other conditions

  • Only one commission will be paid for each Referred Client, corresponding to their first project signed and executed with yes!devs.
  • If two Referrers claim the same referral, the one that was first registered in the yes!devs system with the respective referral code will be recognized as valid.
  • If a Referred Customer is already in contact with yes!devs, or has been previously registered through another channel, the commission will not be awarded.

8. Validity and amendments

yes!devs reserves the right to modify or cancel this Program at any time, with or without prior notice. However, referrals already entered and validated prior to any changes will be governed by the terms in effect at the time of registration.

9. Applicable law

These Terms and Conditions are governed by Spanish or German law, depending on with which entity signs the contract with the final client, and any disputes will be subject to the exclusive jurisdiction of the courts of that city.

10. Tax Obligations

Any taxes or duties associated with the comissions are the sole responsibility of the Referrer, in accordance with applicable local laws.

11. Acceptance

By participating in the Program, the Referrer declares that they have read, understood, and fully accepted these Terms and Conditions.
